Private Equity Is Reshaping Commercial Roofing. Independent Contractors Are Being Forced to Rethink How They Grow

The number of private-equity-backed roofing platforms has surged in recent years, bringing institutional capital into an industry historically built on local relationships, reputation and referrals. For independent commercial roofing contractors, the competitive landscape is changing.

United States, 15th Aug 2026 – Private equity isn’t coming for the roofing industry.

It’s already here.

According to Roofing Contractor, the number of private-equity-backed roofing platforms increased from 17 to 56 in just two years—a 229% increase. In 2024 alone, 134 roofing contractors were reportedly purchased wholly or partially.

And the consolidation isn’t limited to residential roofing.

Tecta America, one of the largest commercial roofing contractors in the United States, has been backed by Altas Partners, with Leonard Green & Partners subsequently making a minority investment.

Soundcore Capital Partners invested in Roofing Corp of America in 2020 and built the business through 10 acquisitions before exiting its investment in 2023.

Dunes Point Capital acquired Greenwood Industries, a major commercial roofing and building-envelope contractor operating throughout the Northeast, in 2025.

For independent commercial roofing companies, the important question isn’t whether private equity is good or bad. It’s what happens when the contractor down the road suddenly has access to more capital, dedicated sales teams and sophisticated marketing systems.

Commercial Roofing Is Growing. So Why Does Growth Feel Harder?

On paper, commercial roofing remains attractive. Demand for reroofing, restoration, maintenance and fluid-applied systems continues to create opportunities across the country.

Growth feels harder.

Companies that historically relied on referrals and existing relationships are finding themselves doing more to produce the same results. Salespeople need more opportunities. More contractors are competing for the same property-management relationships. More companies are actively prospecting.

Increasingly, sophisticated competitors aren’t simply waiting for projects to enter the market. They’re deliberately creating demand.

Austin McIntosh, founder of commercial roofing marketing company Fluid Applied Media, has spent nearly a decade working inside the commercial roofing industry, across organizations ranging from contractors trying to sell their first commercial project to some of the largest companies operating in the space.

“Being a great commercial roofer still matters,” McIntosh said. “But being great and waiting for the market to discover you is becoming a harder growth strategy to rely on.”

The Real Competition Starts Before the Bid

A property manager knows a contractor. A facility manager calls someone they’ve worked with before. One successful repair leads to another building. Eventually, a reroof or restoration project follows.

The difference is that sophisticated roofing companies are increasingly using marketing to deliberately create more opportunities to begin them.

A contractor that first meets a building owner when three companies have already been invited to bid is competing on the project sitting in front of them.

A contractor that enters through an inspection, maintenance program, leak investigation or roof-life-extension conversation may have months or years to establish expertise before that same capital project occurs.

The battle for the project may be won long before the project goes out to bid.

Property Owners Don’t Want Roofing Contractors

Those things matter once someone is evaluating a roofing company. They don’t necessarily create the initial reason to engage.

They may, however, be worried about a recurring leak. They may have a replacement approaching without enough capital budgeted for it. They may manage multiple buildings without knowing which roof will create the next major problem. They may want to know whether an aging system can be restored instead of replaced.

“The first question shouldn’t be, ‘Where should we advertise?’” McIntosh said. “It should be, ‘What does the property owner actually care about enough to respond to?’ Once you figure that out, there are a dozen ways to put that message in front of them.”

The medium matters. But the message comes first.

Independent Contractors Still Have an Advantage

A national organization may need campaigns standardized across dozens of markets. An independent commercial roofer can understand exactly what is happening within its territory.

One contractor may know metal restoration is a major local opportunity. Another may have a service department capable of turning repairs into major accounts. Another may have thermal imaging or moisture-detection technology competitors aren’t using. Another may have expertise with fluid-applied systems that could save certain property owners from prematurely replacing their roofs.

A contractor doesn’t necessarily need to outspend a private-equity-backed competitor. It can out-position one.

The Referral Model Isn’t Dead. It’s Just No Longer Enough.

Referrals aren’t going anywhere. Neither are relationships.

But relying exclusively on them means surrendering control over when the next relationship begins.

A contractor can’t control when an existing customer needs another roof, when someone makes a referral or when a property manager requests another bid.

A repair can create a maintenance relationship. Maintenance can lead to an inspection. An inspection can uncover a restoration opportunity. A restoration can introduce the contractor to the rest of a property portfolio.

The Next Generation of Independent Commercial Roofers
